Cosmius Technologies –  Terms of Service

Welcome to Cosmius Technologies. By engaging with our services, including IT consulting, web development, and software development, you (“Client”) agree to comply with the following terms and conditions. These Terms of Service (“Terms”) govern your relationship with Cosmius Technologies (“Company,” “we,” “us”).

1. Scope of Services

Cosmius Technologies provides professional services including, but not limited to:

• Web development, including design, front-end and back-end development, and deployment.

• Software development, including desktop, web-based, and mobile applications.

• IT consulting and related support services.

All services are delivered based on client-provided requirements and specifications. Cosmius Technologies reserves the right to refuse any project that violates applicable laws or ethical standards.

2. Client Responsibilities

As our client, you agree to:

1. Provide complete and accurate information, including technical specifications, project requirements, and access credentials as needed.

2. Maintain proper ownership, licensing, and rights for all content, data, or materials provided to Cosmius Technologies.

3. Keep backups of all code, data, and project-related files. Cosmius Technologies does not assume responsibility for lost or corrupted client data.

4. Ensure that any third-party software, libraries, or APIs used in the project comply with licensing and usage requirements.

5. Do Testing of delivered work, Maintain testing reports and compliance checks.Testing and the compliance checks of the project / work delivered will be responsibility of the client. 

6. Any liabilities due to any reasons on the project after the work is delivered is of the client.

Important: All code, content, and intellectual property provided by the client remains the client’s responsibility unless otherwise explicitly agreed in writing.

3. No Liability for Client Code

Cosmius Technologies provides guidance, development, and support, but does not assume liability for:

• Bugs, errors, or vulnerabilities present in client-provided code or post-delivery modifications.

• Loss of data, damage, or interruptions arising from the use of client code or software.

• Third-party claims or legal actions related to client code, content, or intellectual property.

Clients acknowledge that they are solely responsible for testing, auditing, and maintaining the integrity of their code and systems.

4. Project Deliverables and Acceptance

1. Deliverables will be provided according to the agreed-upon scope, specifications, and timeline.

2. Upon delivery, the client must review and confirm acceptance within [Insert Number] business days.

3. Any modifications requested after acceptance may incur additional charges.

4. Cosmius Technologies is not responsible for issues arising from modifications, misuse, or integration performed by the client or third parties after delivery.

5. Intellectual Property Rights

1. Intellectual property rights for work created by Cosmius Technologies remain with the Company until full payment is received.

2. Upon full payment, ownership of client-specific deliverables, including source code, designs, and documentation, will be transferred to the client.

3. Cosmius Technologies retains the right to use generic, non-client-specific code, frameworks, and tools in future projects.

6. Confidentiality

1. Cosmius Technologies will maintain the confidentiality of all non-public client information shared during the engagement.

2. Clients are responsible for ensuring that confidential information shared in public forums, unsecured channels, or third-party platforms is protected.

3. The confidentiality obligation does not extend to information that is publicly available, independently developed, or legally required to be disclosed.

7. Payment Terms

1. All fees, including development, consulting, and maintenance, are as agreed in the project proposal or invoice.

2. Payments must be made according to the agreed schedule. Delayed payments may result in suspension of services.

3. Cosmius Technologies reserves the right to require advance payment or milestone-based payments for large projects.

8. Limitation of Liability

1. Cosmius Technologies’ liability is strictly limited to the fees paid by the client for the services rendered.

2. Under no circumstances shall Cosmius Technologies be liable for indirect, incidental, or consequential damages, including lost profits, business interruptions, or loss of data.

3. Clients accept that all software and development projects carry inherent risks, and Cosmius Technologies cannot guarantee error-free or uninterrupted operation.

9. Termination

1. Either party may terminate the project with written notice.

2. Clients remain responsible for any outstanding payments and obligations up to the date of termination.

3. Upon termination, Cosmius Technologies will provide all deliverables completed to date, and ownership of delivered work will follow the Intellectual Property section above.

10. Warranties and Disclaimers

1. Cosmius Technologies provides services on an “as-is” basis.

2. We make no warranties regarding results, performance, or suitability for any particular purpose.

3. While we strive for high-quality work, clients acknowledge that final responsibility for code, security, and functionality lies with them.

11. Governing Law and Dispute Resolution

1. These Terms are governed by the laws of Surat, Gujarat, India.

2. Any disputes arising from this agreement shall be resolved under the exclusive jurisdiction of the courts in Surat, Gujarat, India.

3. Both parties agree to attempt good-faith resolution before pursuing formal legal action.

12. Amendments

Cosmius Technologies reserves the right to modify these Terms at any time. Updated Terms will be communicated via email or posted on our website. Continued use of services constitutes acceptance of the revised Terms.

Acknowledgment

By engaging Cosmius Technologies, the client acknowledges that they have read, understood, and agreed to these Terms of Service.
